1. Acceptance of Terms
By accessing or using Orko (the "Service"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree, you must not use the Service.
2. Description of the Service
Orko is a cloud-based Customer Relationship Management (CRM) platform designed for cruise, tour, and travel advisors. It includes Orko SI, an intelligent assistant that helps with client management, itinerary planning, communications, and related tasks. The Service allows users to connect their Google accounts to import/sync contacts, calendar events, and email data.
3. User Accounts and Registration
You must create an account to use certain features. You are responsible for maintaining the confidentiality of your account credentials.
4. Google API Integration and Data Access
The Service uses Google APIs (Gmail, Google Calendar, and Google Contacts) to provide CRM and productivity features. When you authorize access, you grant us permission to use the approved scopes.
- We request only the minimum scopes necessary.
- All use of Google user data is strictly limited to providing or improving user-facing features that are prominent in the Service's interface.
- We do not sell, rent, or transfer Google user data to third parties for advertising or any prohibited purpose.
- Human access to Google user data is limited to security, abuse prevention, legal compliance, or when you explicitly request support.
You acknowledge that your use of Google APIs is also governed by Google's API Services User Data Policy and Google APIs Terms of Service.
5. User Conduct and Responsibilities
You agree not to misuse the Service, violate laws, upload harmful code, or attempt to reverse-engineer the Service or Google APIs. You are responsible for compliance with data-protection laws regarding your client data.
6. Intellectual Property
The Service and its content are owned by CVA Holdings, LLC or its licensors. You retain ownership of your data and grant us a limited license to host and process it to provide the Service.
7. Payments and Subscriptions
Paid features are subject to the pricing and billing terms presented at the time of purchase. Subscriptions auto-renew unless canceled.
8. Termination
We may suspend or terminate your account for violations of these Terms or Google's policies. You may cancel your account at any time.
9. Disclaimers
THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ORKO HOLDINGS, LLC SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID IN THE TWELVE MONTHS PRIOR TO THE CLAIM.
11. Indemnification
You agree to indemnify CVA Holdings, LLC against claims arising from your use of the Service or violation of these Terms.
12. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Florida, without regard to conflict of laws principles. Any disputes arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Weston, Florida (Broward County). You waive any right to a jury trial.
13. Changes to Terms
We may update these Terms. Material changes will be notified via the Service. Continued use constitutes acceptance.
14. Orko SMS Terms
Orko's SMS program sends transactional account, CRM, and Clarissa service notifications to people who choose to receive them. It is not a marketing blast program.
- Message frequency varies based on account activity and CRM use; messages are sent as needed.
- Reply STOP to cancel Orko SMS notifications or HELP for help.
- Message and data rates may apply.
- Carriers are not liable for delayed or undelivered messages.
- SMS opt-in and consent data will not be shared with third parties for marketing.
